1. The Nature of the Service

Arina provides an enterprise AI infrastructure layer ("Arina Grid") and vertical-specific applications—Prism Sense (Education/Data Intelligence) and Care Sense (Healthcare/Ambient Scribing)—built upon open-source Large Language Models (LLMs) and proprietary agentic orchestration. Arina provides access to optimized model weights and private deployment capabilities; however, the source code for Arina's proprietary agentic logic is not provided and remains the exclusive intellectual property of Arina.

2. Third-Party Components

2.1 General Frameworks: The Service utilizes various open-source libraries and frameworks. These components are provided under their respective licenses (such as the MIT License, Apache 2.0, or similar) and are included on an “AS IS” basis.

2.2 Foundational Models: The Service utilizes a diverse range of foundational models, including but not limited to those from the Gemma family. To the extent the Service utilizes models provided by Google, such use is subject to the Gemma Terms of Use. By using the Service, you agree to comply with Google's “Gemma Prohibited Use Policy”. Arina disclaims all warranties regarding the performance, security, or stability of these and any other third-party foundational models utilized within the Service.

3. Performance, Bugs, and Reliability

3.1 Infrastructure Dependency: Performance guarantees for Arina Grid are subject to the quality and scale of the underlying infrastructure provided by the User. Arina is not responsible for performance degradation resulting from insufficient hardware resources.

3.2 "As-Is" Status and Bug Disclaimer: Arina does not warrant that the Service will be error-free, uninterrupted, or free from bugs. The Service is provided "AS IS". Arina shall not be liable for any system downtime, software glitches, or technical errors inherent in developing sophisticated AI infrastructure.

3.3 No Warranty of Correctness: Due to the probabilistic nature of Large Language Models, Arina cannot and does not guarantee the factual accuracy, completeness, or reliability of any output. Use of the Service is at the User's sole risk.

4. Use of AI and Human-in-the-Loop

4.1 Hallucinations: You acknowledge that AI-generated outputs may contain inaccuracies, logic errors, or "hallucinations".

4.2 Human-in-the-Loop (HITL) Requirement: Use of Prism Sense and Care Sense requires a mandatory "Human-in-the-Loop" workflow. The User assumes sole legal and professional responsibility for reviewing, editing, and verifying the accuracy of any output. Arina shall have no liability for damages arising from the User's reliance on unverified AI-generated content.

4.3 Prompt Responsibility: Arina is not responsible for incorrect outputs caused by ambiguous, incorrect, or biased input data or prompts provided by the User.

5. Acceptable Use Policy

You agree not to use the Service to:

• —Develop weapons, promote self-harm, or facilitate illegal activities.
• —Engage in harassment, defamation, or the generation of non-consensual intimate content.
• —Automate high-stakes decisions without licensed professional oversight.
• —Reverse engineer, probe, or attempt to extract the source code or underlying architecture of Arina's proprietary agentic layers.
• —Upload third-party copyrighted material without the necessary licenses or permissions.

6. Professional & Medical Disclaimers

6.1 Not a Medical Device: Care Sense is a documentation assistance tool and is not a medical device. It does not provide medical diagnoses, treatment recommendations, or diagnostic advice.

6.2 No Replacement for Practitioners: The Service is not a replacement for a qualified medical practitioner. All clinical decisions must be made by a licensed professional.

6.3 Not Financial or Academic Advice: Data Intelligence and educational outputs provided via Prism Sense are for informational purposes and do not constitute financial, legal, or formal academic advice.

7. Licensing, Termination, and Heartbeat

7.1 Annual License: Access to the Service is granted via a fixed annual license.

7.2 Connectivity & Heartbeat: To maintain license validity, Arina Grid requires periodic internet access for automated "heartbeat" checks. If the Service cannot establish a secure connection to the Arina licensing server, the agentic layers will automatically halt processing.

7.3 Expiration Grace Period: Upon expiration of a paid license, Users are granted a fourteen (14) day grace period to renew their license or export metadata. Following this period, Arina reserves the right to deactivate the Service via a remote "kill-switch".

8. Data Ownership and Security

8.1 Absolute Ownership: Users retain complete ownership of all input data and generated outputs.

8.2 Private Deployments: In private, air-gapped deployments, the User retains full responsibility for the physical security, hardware maintenance, and network integrity of the environment.

8.3 Zero-Leakage Architecture: Arina is designed so that data processed within a private namespace remains isolated from public internet vulnerabilities.

9. Information Collection and Usage

9.1 Metadata for System Improvement: You grant Arina a limited, non-exclusive right to utilize anonymized system metadata to improve model performance and agentic logic.

9.2 Content Privacy: Arina does not access, store, or utilize the actual content of User documents, clinical notes, or proprietary datasets for training or improvement purposes.

10. Regulatory Compliance & Minor Consent

10.1 HIPAA Disclosure: Arina is not currently HIPAA certified. In instances where the Service is hosted by Arina, Users are prohibited from inputting PHI. In private deployments, compliance remains the sole responsibility of the User.

10.2 Academic Compliance: For institutions utilizing Prism Sense, the purchasing institution assumes full responsibility for obtaining necessary parental or legal guardian consent for any minor students.

11. Confidentiality

The model weights, proprietary orchestration, and agentic architecture provided by Arina are classified as "Arina Confidential Information". Users agree to maintain the confidentiality of these assets and shall not share, redistribute, or allow third-party access to these components.

12. Service Modifications & Maintenance

Arina reserves the right to modify, update, or deprecate specific features at its discretion. While Arina may issue patches for identified bugs, it is under no obligation to ensure that the Service is compatible with all User-provided hardware or third-party software updates.

13. Limited Indemnification

13.1 By Arina: Arina shall defend the User against third-party claims that the core Arina Grid platform infringes on a valid patent. This does not apply to claims arising from AI-generated outputs.

13.2 By User: The User shall indemnify Arina against any claims resulting from incorrect outputs relied upon by the User, violations of the Acceptable Use Policy, or malpractice claims arising from the use of Care Sense.

14. Force Majeure

Arina shall not be liable for failures resulting from causes outside its reasonable control, including GPU hardware shortages, cloud infrastructure failures, or acts of God.

15. Limitation of Liability

To the maximum extent permitted by law, Arina's total liability for any claim arising from the Service—including claims related to software bugs or incorrect AI outputs—shall be limited to the amount paid by the User for the Service during the twelve (12) months preceding the claim.

16. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, India.
